Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Reflectt AI services, including reflectt.ai, app.reflectt.ai, and related hosted services (collectively, the “Service”).
By accessing or using the Service, you agree to these Terms.
1. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you confirm that you meet this requirement. We do not knowingly permit access by anyone under 18.
2. Service Description
Reflectt provides AI-native software and coordination tooling for individuals and teams.
These Terms apply to Reflectt-hosted services (including Reflectt Cloud). Certain components may also be available as open source software.
Open source carve-out: reflectt-node is open source software licensed under the Apache License 2.0. Its use is governed by that licence, not these Terms.
3. Accounts and Access
You may need an account to access some features. You are responsible for:
- keeping account credentials secure,
- activity under your account,
- providing accurate registration information.
You must notify us promptly of unauthorized account access.
4. Acceptable Use
You agree not to misuse the Service. You must not, and must not help others to:
- violate laws or regulations,
- infringe intellectual property or privacy rights,
- upload or transmit malicious code,
- interfere with service integrity, availability, or security,
- attempt unauthorized access to systems or data,
- use the Service to generate or distribute unlawful, abusive, or fraudulent content.
We may suspend or terminate access for violations.
5. AI/Agent Output Disclaimer
The Service may generate outputs, suggestions, plans, or other content via AI systems and agents (“Output”). Output may be incorrect, incomplete, offensive, or unsuitable for your use case.
You are solely responsible for reviewing and validating Output before relying on it. Reflectt does not guarantee accuracy, reliability, legality, or fitness of Output for any purpose.
6. Intellectual Property
Reflectt and its licensors retain all rights, title, and interest in the Service, including software, branding, and related materials, except where expressly stated otherwise.
Subject to these Terms, Reflectt grants you a limited, non-exclusive, non-transferable right to use the Service.
7. Data and Privacy
Our collection and use of personal information are described in our Privacy Policy: https://reflectt.ai/privacy
You represent that you have all rights and permissions needed for data you submit to the Service.
8. Fees and Billing
Reflectt Cloud is currently offered at no charge. We do not collect payment information or charge fees at this time. If we introduce paid plans, we will publish updated billing terms and provide reasonable notice before any charges apply.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFLECTT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REFLECTT AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:
- THE AMOUNTS YOU PAID TO REFLECTT FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM; OR
- CAD $100.
11. Indemnification
You agree to defend, indemnify, and hold harmless Reflectt and its affiliates, officers, employees, agents, and licensors from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
- your use of the Service,
- your content or data,
- your violation of these Terms or applicable law,
- your infringement of third-party rights.
12. Suspension and Termination
We may suspend or terminate your access at any time if you violate these Terms, create risk to the Service, or as required by law. You may stop using the Service at any time.
13. Changes to the Terms
We may update these Terms from time to time. If changes are material, we will provide reasonable notice (for example, by posting updated Terms on reflectt.ai). Continued use after the effective date means you accept the updated Terms.
14. Governing Law
These Terms are governed by the laws of the Province of British Columbia and applicable federal laws of Canada, without regard to conflict-of-law rules. Courts located in British Columbia, Canada will have exclusive jurisdiction over disputes relating to these Terms or the Service, unless required otherwise by law.
